
Tata Motors Limited has announced the Composite Scheme of Arrangement involving TML Commercial Vehicles Limited and Tata Motors Passenger Vehicles Limited, pursuant to Section 230-232 of the Companies Act, 2013. The scheme, approved by the National Company Law Tribunal (NCLT), Mumbai Bench, has become effective from October 1, 2025.
The Company has fixed Tuesday, October 14, 2025 as the record date to determine the eligible shareholders who will be issued and allotted 1 share (having face value of ₹2, fully paid) for every 1 share in TMLCV that is held in TML.
Under the scheme, TML’s commercial vehicles business has been demerged into TMLCV, while TMPV will be merged into TML. Effective October 1, 2025, the date of appointment is July 1, 2025.
TML will continue as a listed entity but will be renamed Tata Motors Passenger Vehicles Limited, which will focus on passenger vehicles including electric vehicles and investments in JLR.
TML Commercial Vehicles Limited will be renamed Tata Motors Limited.
On the record date, the share price of TML will be adjusted to reflect the demerger of the Commercial Vehicles business through the price discovery mechanism on the stock exchanges.
Upon finalizing the list of eligible shareholders, shares will be allotted in TMLCV and subsequently listed on BSE and NSE.
From the date of allotment till listing on BSE and NSE, the shares of TMLCV will not be available for trading. The listing and trading permission process is expected to take 45-60 days from the date of filing of necessary applications with the stock exchanges.
Guidance on the ‘acquisition cost’ of equity shares in TML and equity shares in TMLCV will be given in due course.
